Standard Terms and Conditions for the supply of Services

  1. Interpretation

 In these Standard Terms and Conditions unless the context requires otherwise:

  • Words importing a singular number include the plural number and vice versa;
  • Reference to a person includes the executors, administrators, successors and assigns of that person and includes corporations and associations;
  • All words commencing with a capital letter have the meaning assigned to those words in the Service Agreement
  1. Operative Period

Agreements will commence on signing by both parties and shall expire at the conclusion of the event.

  1. ServicesEight Elements Pty Ltd must, during the Operative Period develop and implement events and activations agreed between the parties in accordance with the Strategy.
  2. Fees
  • In return for the Services, the client must agree to pay Eight Elements Pty Ltd a fee for the Operative Period. Fees cover management, professional and administration time and costs, and basic secretarial services.
  • Service fees do not include supplier costs, and solely include the professional services by Eight Elements Pty Ltd.
  • Upon receiving a full project estimate, the client is required to deposit a non-refundable 50% of the estimate costs before any works commence. This estimate is not the actual event costs, which may increase due to the nature of the work. Any additional costs will be quoted for approval prior to being commissioned.
  • All fees will incur GST in accordance with A New Tax System (Goods and Services Tax) Act 1999 (Cth). All Tax Invoices must be paid within fourteen (14) days from receipt.
  • The Client will pay for any reasonable sundry disbursements incurred while Eight Elements Pty Ltd is working upon the account including but not limited to International phone calls, couriers, parking and postage.
  • If the Client requires Eight Elements Pty Ltd staff to travel as part of the Services, the Client must pay for reasonable expenses, either in advance or by way of reimbursement according to when Eight Elements Pty Ltd invoices. This is subject to obtaining the Clients approval before incurring such costs.
  1. Approval, Authority and Indemnity
  • Eight Elements Pty Ltd will submit all copy, scripts, design and artwork to the Client for approval. Where possible, the approval will be in the form of a signed authorisation, or as confirmation via email, or as otherwise agreed with the Client.
  • Approval from the Client will be sufficient authority to continue with the Services. Approval of estimates will be consider authority to enter into contracts with any third party suppliers on the Clients behalf. Eight Elements Pty Ltd will take all reasonable steps to comply with requests to change, reject or cancel any plans, goods or services purchased, hired or otherwise engaged on the Clients behalf.
  • In the event of cancellation or change, the Client will reimburse or indemnify Eight Elements Pty Ltd for any charges incurred.
  • It is the Clients responsibility to review all materials without limitation, promotional, marketing, artwork, design, or other materials prepared by Eight Elements Pty Ltd in accordance with the Agreement.
  • The Client shall also be responsible for confirming the accuracy and legality of the descriptions and depictions of its own products and services.
  1. Confidentiality

Eight Elements Pty Ltd agrees to keep all information and material safe and confidential. This does not include what is in the public domain.

Unless otherwise acknowledged, all material, information, text, graphics, concepts provided are the property of Eight Elements Pty Ltd. All copyright is reserved.

  1. Terms and Conditions

In providing the Services, Eight Elements Pty Ltd must:

  • Promptly and competently comply with reasonable directions and instructions from the Client.
  • Comply with all Work Health and Safety Requirements.
  • Comply with all applicable standards, laws and regulations.
  • Provide and use appropriate equipment and material required.
  • Obtain approval for any artwork, additional costs, or changes to the project.
Upon completion of the event, the Client gives Eight Elements Pty Ltd the rights to share project overview, and use any relating content on social media pages, website, and company portfolios.

  1. Termination

 Either party may in its absolute discretion prematurely end the Agreement prior to the completion date. The initial 50% deposit will not be refunded any supplier costs incurred will require payment.

Standard Terms and Conditions for the Contractor

  1. Operative Period

Agreements will commence on signing by both parties.

  1. ServicesThe Contractor must, during the Operative Period provide Services agreed between both parties. The Contractor must promptly and competently comply with all reasonable direction and instructions from Eight Elements Pty Ltd.
  2. Fees
  • In return for the Services, Eight Elements Pty Ltd shall pay the contractor an hourly rate. It is the contractors responsibility to invoice Eight Elements Pty Ltd upon completion of each individual project.
  • All Tax Invoices will be payable within thirty (30) days from receipt.
  • The contract price includes all expenses which the Contractor is responsible, all insurance costs, all charges for the provisions of the Services.
  1. Confidentiality

The Contractor must not, without the consent of Eight Elements Pty Ltd, reveal any confidential information which the Contractor acquires in the course of engagement.

Unless otherwise acknowledged, all material, information, text, graphics, concepts provided are the property of Eight Elements Pty Ltd. All copyright is reserved.

  1. Terms and Conditions
  • The Contractor warrants that it will exercise skill, care and diligence to a high standard in providing the services.
  • In return for the services the Contractor must:
    1. Comply with all Work Health and Safety Requirements
    2. Comply with all directives given by or on behalf of Eight Elements Pty Ltd.
    3. Comply with all policies, procedures, and directives of Eight Elements Pty Ltd.
    4. Comply with all applicable standards, laws, and regulations.
    5. Provide and use all appropriate equipment, material and clothing required.
    6. Provide Eight Elements Pty Ltd on request written evidence of Work Cover and Tax Registration.
    7. The Contractor must take all responsible practical measures to ensure the Contractors’ own safety.
  • The Contractor is bound to act in Eight Elements Pty Ltd best interests during the term of the Agreement. The Contractor shall notify Eight Elements Pty Ltd of any possible, potential, or perceived conflict of interest.
  • The contractor is not permitted to use mobile phones during any events and activations unless agreed otherwise.
  • The Contractor must comply with all policies of Eight Elements Pty Ltd.
  • It is the Contractors responsibility to pay their own Tax and Superannuation.
  1. Indemnity

The Contractor agrees to indemnify Eight Elements Pty Ltd against any liability, loss, or claim arising under any statute or common law in respect of loss or damage to property, or bodily injury or any person where the loss, damage, or injury arises out of or as a consequence of a negligent act or omission of the Contractor, or a breach of the Contractor’s obligations under the Agreement or conditions.

  1. Termination

If the Services do not meet their purpose or are not in accordance with the Agreement, Eight Elements Pty Ltd has the right to terminate any agreements.

  • The Client shall also be responsible for confirming the accuracy and legality of the descriptions and depictions of its own products and services.
  1. Confidentiality

Eight Elements Pty Ltd agrees to keep all information and material safe and confidential. This does not include what is in the public domain.
